1. Referral Programme

These Referral Programme Terms ("Referral Terms") govern your participation in any referral, reward or promotional programme made available by Yousend Inc. (Canada), and Yousend Payments Ltd (UK), as applicable to your country of residence and account registration, collectively "Yousend", "we", "us" or "our", through the Yousend Platform (the "Referral Programme").

By participating in the Referral Programme, you agree to be bound by these Referral Terms, the Yousend Terms of Use/User Agreement, Privacy Notice and any other terms applicable to your Yousend account. Where there is a conflict between these Referral Terms and the terms of a specific promotional offer communicated through the Yousend Platform, the specific promotional offer will apply only to the extent of that conflict.

The Referral Programme is intended to reward genuine customer referrals and genuine use of Yousend services. It is not intended to reward multiple accounts, artificial transactions, self-referrals, coordinated activity or activity undertaken primarily to obtain promotional benefits.

Yousend may make referral rewards available to eligible customers who introduce new customers in accordance with these Referral Terms and the requirements of the relevant promotional campaign. The amount, currency, nature and structure of a reward, number of qualifying referrals, minimum qualifying transaction, applicable regions and completion period will be communicated through the Yousend Platform or another designated channel.

A Referral Reward may be offered to the Referrer, the Invitee, or both. No person is entitled to participate in a campaign or receive a reward until all applicable requirements have been satisfied. Yousend may restrict, suspend or discontinue the Programme in any country, territory or region at its discretion.

2. Definitions

For these Referral Terms:

  • A "Referrer" is an eligible Yousend customer who participates using a referral link, code or other mechanism provided by Yousend.
  • An "Invitee" is a person referred to Yousend.
  • A "Referral Reward" is any bonus, reward, cashback, credit, discount, promotional amount or other benefit offered under the Programme.
  • A "Qualifying Transaction" is a transaction satisfying all requirements specified for the applicable campaign and these Terms.
  • "Referral Abuse" means fraud, manipulation, circumvention, exploitation, misuse or other conduct intended to obtain or facilitate obtaining rewards other than through genuine participation.

3. Referrer Eligibility

A Referrer must have an active and valid personal Yousend account and remain eligible to use the Platform throughout the referral period and when the reward is awarded. Yousend may refuse a reward where the account is suspended, restricted, closed or under investigation.

Corporate, business, commercial or other non-personal accounts may not participate unless Yousend expressly states otherwise. A person who operates, manages or controls an account for another person or a business will not qualify merely because the account is registered as personal.

4. Invitee Eligibility

An Invitee must be a genuinely new Yousend customer. An Invitee does not qualify if they have previously registered for, opened, held, accessed or used a Yousend account under their actual identity, a pseudonym, an alternative email address, telephone number or other identifier.

Yousend may use account, identity, telephone, email, device, payment, transaction and account-history information reasonably available to determine whether an Invitee is genuinely new. Creating an account with different registration details does not make a previous customer a new Invitee.

5. Referral Link and Referral Process

A referral qualifies only where the Invitee uses the referral link, code or other mechanism provided by Yousend and completes the registration and qualifying requirements within the Promotion Period. The Referrer must not alter, manipulate, reproduce or interfere with the mechanism to circumvent the Programme.

A Referrer must only refer people they know or have a legitimate basis to contact. Unsolicited bulk communications, spam, misleading advertising and conduct that may breach law or harm Yousend or its reputation are prohibited.

6. Qualifying Transaction

The Invitee must complete the Qualifying Transaction specified in the applicable offer within the applicable Promotion Period. Unless expressly stated otherwise, it must be a genuine transaction for a legitimate remittance or payment purpose and result in a completed external payout to an eligible recipient or destination.

A transaction does not qualify if cancelled, reversed, refunded, charged back, rejected, returned or otherwise unwound, or if Yousend reasonably determines it was undertaken primarily to satisfy the Programme requirements. Sign-up bonuses, promotional credits, Referral Rewards, cashback and fee credits do not count towards a minimum amount unless expressly stated otherwise.

Where a campaign requires the Invitee's own funds, those funds must originate from an account or payment source held in the Invitee's name. Third-party funded transactions, transfers between a Referrer and Invitee, same-person transfers, circular or round-trip transactions, internal wallet transfers, structured transactions and recycled funds do not qualify.

7. Genuine Use Requirement

The Programme rewards genuine new customer acquisition and genuine use of Yousend services. A transaction does not qualify merely because it meets a minimum amount. Yousend may consider its purpose, source, destination, timing, pattern and surrounding circumstances.

If an account or transaction was used primarily or substantially to generate Referral Rewards rather than genuinely use Yousend services, Yousend may treat the referral and related reward as ineligible.

8. Referral Abuse and Manipulation

A participant must not create, operate, control, fund or arrange multiple accounts, directly or indirectly, to generate Referral Rewards.

Referral Abuse includes, without limitation:

  • Self-referrals and duplicate or fictitious accounts.
  • Referring existing or previously registered customers.
  • Creating an account for another person's benefit.
  • Coordinating referrals between related or connected people.
  • Artificially generating qualifying transactions.
  • Funding another participant's transaction for a reward.
  • Repeatedly depositing and withdrawing funds for benefits.
  • Circular, round-trip or otherwise manipulated transactions.

Connected telephone numbers, email addresses, devices, payment instruments, bank accounts, funding sources, payout destinations, identity information, IP addresses or other information may be considered together with the surrounding circumstances. No single factor necessarily establishes Referral Abuse.

9. Referral Rewards Are Conditional

A Referral Reward is conditional and does not become finally earned or irrevocably vested merely because it appears in, is credited to or is available through an account. Yousend may conduct fraud, compliance, transaction and eligibility checks before or after crediting it.

If a reward was incorrectly awarded or obtained through breach, fraud, Referral Abuse, manipulation, a non-Qualifying Transaction or other ineligible activity, Yousend may reverse or recover it.

10. Cancellation, Reversal, Liquidated Debt and Set-Off

Where Yousend reasonably determines that a reward was improperly awarded, credited, paid or obtained, it may cancel, withhold, reverse or recover it whether pending, credited, transferred or withdrawn.

If a participant has withdrawn, transferred or used an improperly awarded reward, its full monetary value immediately becomes a direct, liquidated debt due and payable to Yousend.

Subject to applicable law, Yousend may place a temporary Administrative Hold (Lien) strictly limited to the exact disputed reward amount. Remaining unencumbered funds remain accessible. Yousend may set off the debt against held funds and will notify the participant via in-app notification or registered email.

The participant has fourteen (14) calendar days from notice to submit evidence of genuine participation. Without satisfactory evidence within 14 calendar days, the set-off becomes final. If the recoverable amount exceeds the account balance, the participant remains liable for the outstanding amount.

11. Account Restrictions and Proportionate Controls

Where Yousend reasonably suspects Referral Abuse, fraud, manipulation or another material breach, it may apply proportionate controls, including suspension or restriction from the Programme, and withhold, cancel or recover rewards.

Yousend will prioritize applying an Administrative Hold to disputed promotional funds rather than a complete account lock, unless full suspension is required under AML/CFT laws, regulatory directives or severe fraud risks. Where conduct creates other legal, regulatory, financial-crime, fraud or security risk, Yousend may restrict, suspend or close the account subject to law and regulatory obligations.

12. Multiple or Competing Referrals

If an Invitee receives more than one invitation or uses more than one link or code, Yousend may determine which referral, if any, qualifies based on its recorded referral mechanism and information. That determination is final subject to applicable law.

13. Referral Reward Limits

Yousend may limit the number of referrals, rewards or aggregate reward value a participant may earn during a Promotion Period or other specified period. It may also impose limits to prevent Referral Abuse, fraud, excessive promotional exposure or conduct inconsistent with the Programme's purpose.

14. Promotion Period

Each campaign operates for the Promotion Period communicated through the Yousend Platform or another designated channel. Qualifying requirements must be completed within that period unless Yousend expressly states otherwise.

Yousend may extend, shorten, suspend or terminate a Promotion Period where reasonably necessary because of Referral Abuse, fraud, technical issues, legal or regulatory requirements, operational circumstances, reputational concerns or other circumstances affecting the Programme.

15. Changes to the Referral Programme

Yousend may change the reward amount, eligibility criteria, qualifying transaction requirements, geographical availability, permitted referrals, Promotion Period or other Programme features. Where required by law, Yousend will appropriately notify participants of material changes.

Changes will not affect rewards already finally and validly earned unless required by law, regulation, fraud prevention requirements or other circumstances where Yousend is legally or reasonably required to reverse or withdraw a reward.

16. Referral Reward Use

Unless otherwise stated in the applicable offer, Referral Rewards are non-transferable promotional benefits and may only be used as specified by Yousend. A reward is not deposited funds, an investment, interest, cash equivalent or another financial entitlement independent of the Programme.

If an applicable campaign permits a reward to be withdrawn or transferred as cash or cash-equivalent value, it remains subject to these Terms and may be reversed or recovered if improperly awarded or obtained.

17. No Guarantee of Reward

Participation does not guarantee that a Referral Reward will be awarded. Yousend determines whether requirements were satisfied based on its records and information reasonably available to it.

Yousend may delay awarding a reward where verification, transaction, fraud, compliance or other checks are required.

18. Privacy and Fraud Prevention

Yousend may process personal data relating to Referrers, Invitees, accounts, transactions, devices, payment instruments and other identifiers to administer the Programme, determine eligibility, prevent and investigate fraud and Referral Abuse, verify transactions, enforce these Terms and recover improperly awarded rewards.

Processing will be carried out in accordance with Yousend's Privacy Notice and applicable data protection law.

19. Limitation of Liability

To the maximum extent permitted by law, Yousend is not responsible for any failure, delay, interruption or inability to participate resulting from technical or system failures, telecommunications failures, incorrect information, third-party service failures, fraud, unauthorised activity, circumstances beyond Yousend's reasonable control or any other circumstance preventing the Programme from operating as intended.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

20. Governing Law

These Referral Terms are governed by the laws of England and Wales, unless otherwise required by the terms governing the participant's account or mandatory applicable law.

Disputes will be subject to the dispute resolution and jurisdiction provisions applicable to the participant's account, unless otherwise required by law. Nothing overrides mandatory consumer protection rights under applicable local regulatory frameworks.

21. General

If any provision is invalid, unlawful or unenforceable, it will be interpreted or modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in effect.

A failure or delay by Yousend in exercising a right does not constitute a waiver of that right. These Referral Terms, the applicable promotional offer and the terms governing the participant's Yousend account constitute the terms governing participation.
