   2. You have signed up to use any of our services including but not limited to Yousend mobile app, Yousend website etc.
   3. You have signed up to integrate our Application Programming Interface or any other measures of direct connectivity between Yousend’s system and yours.
   4. You are consuming our products and services through any other consumption methods now introduced to the market or later to be introduced.

1. You reserve the right to not consent to this term of use, however, your failure to consent to it may prevent your access to all or some of our products and services. Therefore, we encourage you to read these terms of use carefully and consent to them.
2. If you are signed up to any of our products and services, you may have likely checked a box consenting to these terms at sign-up. Where such is not presented, you may have signed an agreement to use such selected product or service.
3. If you do not consent to these terms as communicated in whatever medium, please refrain from using our product or service.

When we make such updates, we may at our sole discretion notify you by amending clause 3(a) above with the latest version number. Yousend Inc is a secure payment processing company providing efficient remittance services across the globe. Our focus is to create financial inclusion and improve the financial wellness of Africans by providing a seamless way of sending and receiving funds worldwide.

At Yousend, we offer a wide range of services via our website, mobile application, and several other related digital platforms. These Terms of Use govern your use of any of the Services provided by or through Yousend, guide our relationship with you, and help us serve you better. By using any Yousend platform, you voluntarily consent to be legally bound by the provisions of these Terms of Use and the related agreements referenced in these Terms of Use. You are strongly advised to read carefully, understand, and freely give your consent. If you do not wish to be bound by these terms of use, please do not use, or access any of our Services. When you use our products or services on behalf of another individual or entity, you automatically consent to these terms on their behalf and you represent that you have their permission to do so.

In line with legal, regulatory, and operational requirements, we make changes to these Terms of Use from time to time. You will be duly notified of these changes via email after such changes have been posted on our platform. All modifications to these Terms of Use shall become effective and binding on you upon publication by Yousend. This also applies to all automatic updates to our software, products, and services

1. Our products and services apply solely to persons who are 18 years and above. Persons who are below 18 years old are restricted from opening an account or signing up to access our services in any way. If Yousend finds that you are not of full legal age and/or capacity, your account shall be disabled immediately and your data deleted.
2. You are required to provide personal information to open an account with us and access our products and services. The personal information collected shall aid in identifying you and providing tailored services that soothe your needs. Hence, you undertake to provide complete and accurate information to Yousend and warrant that the data you submit for creating the account is true, complete, and correct.
3. If some of your personal data or general information changes, you are expected to promptly inform us via any of our communication channels and may changes as necessary to ensure the continuous accuracy of your data
4. All data collected from you whether belonging to you personally or belonging to other persons, entities, or their affiliates, shall be stored securely and managed with the highest level of confidentiality in accordance with our Privacy Policy and all applicable laws. We employ you to read through our Privacy Policy for more information on how we collect, process, and use your data.
5. Your account and account information on Yousend are controlled by you, through the User IDs and Passwords that you selected, hence, you are responsible for diligently protecting the confidentiality of all account information, User IDs and Passwords. This will aid in preventing fraud or any illegal activity as we believe that no mechanism can fully ensure that the Platform or system used can ascertain that you are the true user of your account, aside from confirmation of your unique user ID and password. Please comply with the confidentiality rules for your account and password. You agree that the Service providers will deem any transactions entered and legal conduct carried out by your account as transactions entered and legal conduct carried out by you, and you shall be responsible for the use of your account.
6. All activities on your account must be in accordance with the prevailing laws and regulations. You are prohibited from using your account for any illegal activity including but not limited to, compromising Yousend’s security protocols, attempting to hack or hack Yousend’s systems, falsifying identities, engaging in illegal disclosure of the third party’s confidential information, false accusations, uploading contents with violence, money laundering, theft, fraud, forgery, indecency, harassment, defamation, attack on other’s dignity or other criminal offenses or civil wrong.
7. If there is any suspicion or factual knowledge of access and use of your account by a third party without your permission, or that your account was compromised, hacked, and/or in any way illegally accessed, you are obligated to immediately contact Yousend’s support team via support@yousend.co. . You are solely responsible for all activities traceable to your account, even if a third party was using your account without your permission.
8. When you try to make a deposit unto the YouSend platform, we may make attempts to confirm the genuineness of the deposits. In the event that the genuineness is disputed, we will put a temporary hold on your account and may take action including but not limited to refunding the sender account or such other action as advised internally or from law enforcement/regulatory authorities.

We may close or disable your account at will when the following occurs:

1. You are below the age of 18.
2. You engage in suspicious or illegal activities including engaging in money laundering, proliferation of weapons of mass destruction, and terrorism financing.
3. You violate any applicable laws or any term of these Terms of Use.
4. You are found guilty of compromising or attempting to compromise Yousend’s security processes.

When you sign up to use any of our platforms, you agree to;

1. Use your account solely for yourself. You can not assign or transfer your account to another person except otherwise provided under applicable laws.
2. Maintain your mobile device in safe and efficient working order to access our products and services. We are not liable for any errors, failures, or viruses resulting from your mobile device, nor for any issues caused by your service provider.
3. Ensure the download of the correct and latest version of our mobile application for your mobile device. If your device is lost or compromised, you must immediately notify us and follow our procedures. We are not liable for any losses due to incompatibility or lack of updates on your device.
4. Ensure that all provided data complies with all applicable local, state, national, and international laws, including copyright, data protection, and privacy laws. They must not contain any malicious code or viruses that could disrupt or compromise Yousend or its servers.
5. Follow all instructions, procedures, and terms provided by us regarding the use of and of our services.
6. Protect your account from unauthorized access or activities. This includes securing your mobile device and immediately notifying us if it is lost, stolen, or compromised. We are not liable for any disclosures of your account information, and you agree to indemnify us for any resulting losses.
7. You acknowledge that using our service may consume data, for which you are solely responsible.
8. Pay all transaction fees, and taxes related to these Terms of Use using the payment methods provided and displayed on our platform for the fulfillment of your requests.
9. Take reasonable precautions to detect any unauthorized use of our system and service and must follow all security procedures as notified by us. Failure to comply may result in a breach of your account’s confidentiality. Ensure that only authorized persons use the service, issue requests, or perform relevant functions. This includes promptly examining communications from us and immediately notifying us of any suspected security breaches, unauthorized access, or fraudulent activities.
10. Refrain from using any trademark appearing on our platform, including any variations thereof, without our prior written consent or the prior written consent of the relevant trademark owner.
11. Indemnify us against all claims, losses, damages, costs, and expenses arising from or related to us acting on any of your requests or failing to exercise the discretion granted to us.

As a user, you are prohibited from doing any of the following while using any of our products and services.

1. Doing anything restricted in our acceptable use policy without our express written and signed permission;
2. Performing anything prohibited in our acceptable use policy;
3. Sell, commercially exploit, resell, transfer, distribute, assign, sub-license, transfer, subcontract, or otherwise dispose of any of your rights or obligations under these Terms of Use.
4. Disrupt the integrity or performance of our system or the data contained therein, harvest any information or data from our systems, and use any application or process to retrieve, reproduce, or circumvent our system's navigational structure, presentation, or content.
5. Post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information or remove any copyright, trademark, or other proprietary rights contained in the System.
6. Send or store any tortious, infringing, obscene, threatening, or libelous material for unlawful or fraudulent purposes, such as spam, software viruses, worms, trojan horses or other harmful computer code, files, scripts, agents, programs, or other unsolicited messages. or cause nuisance, annoyance, or inconvenience.
7. Impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity, misrepresent your location or any material information about yourself, or as may relate to our decision to engage in any related or other business with You.
8. Reverse engineer, copy any ideas, features, functions, or graphics of the System, launch an automated program or script, build a competitive product or service using similar ideas, features, functions, or graphics as the System, access the underlying software or attempt to gain unauthorized access to the System or related systems or networks.

We will handle and use the information you provide in accordance with our privacy policy and applicable laws. You agree not to compromise or attempt to compromise the security of Yousend’s platforms, including but not limited to:

1. Accessing data not intended for you.
2. Logging into a server or account for which you are not authorized.
3. Probing, scanning, or testing the vulnerability of any Yousend-related system or network without due authorisation from Yousend.
4. Breaching security or authentication measures without authorization.
5. Interfering with the service to any host, network, or user, including sending unsolicited emails, flooding, spamming, mail bombing, or crashing systems.
6. Sending promotions or advertisements for products or services.

Yousend’s content, including information, text, photographs, designs, graphics, images, sound and video recordings, animations, and other materials (including logos), is protected by copyrights, trademarks, service marks, and other intellectual property rights owned by Yousend, its partners, merchants, and third parties. By using Yousend and its Services, you agree to respect and protect these intellectual property rights and commit not to use for any promotional purposes, or in any way that could be interpreted as suggesting a relationship with, or endorsement by, the trademark owner, copy, exploit, distribute, or derive economic benefits from any components of the platform without prior permission from the Service Providers. We do not grant any right or license to use any trademark or related rights displayed on Yousend, whether explicitly or by implication, estoppel, or otherwise, without the prior written consent of the relevant owner.

You may access and use the content on Yousend and electronically utilize and access Yousend’s Services in accordance with these Terms of Use. Without Yousend’s prior written consent, you are prohibited from framing, mirroring, or copying any content from Yousend. Any other use of Yousend—including but not limited to modification, republication, deletion, transmission, public performance, distribution, proxy caching, uploading, posting, reproduction, or other unauthorized exploitation is strictly prohibited and may result in both civil and criminal liabilities.

1. You represent and warrant that you have the legal capacity and authority to create an account on any of Yousend's platforms, whether under applicable laws and regulations or any contractual obligations binding upon you. You agree to indemnify us or our service providers against any losses, claims, or actions arising from the creation of an account that does not comply with the representations and warranties you have provided.
2. You grant Yousend an irrevocable, non-exclusive, worldwide, transferable, assignable, sublicensable, fully paid-up, royalty-free, and perpetual right to use, adapt, integrate, transmit, transfer, modify, store, copy, and display your data, in whole or in part, in any form, and across any media formats and channels (whether known or developed in the future), solely in connection with the provision of Yousend’s services to you.
3. You agree to take proper diligent measures to verify the recipient account you desire to initiate and send transactions to on our platform. You further agree to indemnify us from any liability and bear all responsibility for transfers to erroneous or fraudulent accounts.

1. Relying on all applicable laws and the conditions stated in these Terms of Use, Yousend will not be liable to you or your representatives for any indirect, incidental, special, consequential, punitive, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, opportunity costs, intangible losses, or the cost of substitute services.
2. This exclusion of liability applies except in cases of negligence or related faults wholly attributable to Yousend and any person or entity associated with Yousend’s provision of services, such as partners and operators of third-party portals. In such cases, our sole obligation (and that of our partners and third-party operators) is to compensate for the loss or damage at our discretion. To activate this process, a claim for such damage or loss must be submitted within fourteen (14) days from the date of occurrence to our legal team via legal@yousend.co
3. If you violate these Terms of Use, and/or intentionally publicize such violation, you acknowledge that we and our affiliated companies may suffer significant damage to our reputation and goodwill, for which you will be held liable. Hence, you agree not to use any of our services in any manner that could harm our public reputation, or that of our affiliated companies, employees, shareholders, board members, or third parties for which we provide our services.

1. Our products and services may be accessed through third-party websites or portals. If you use any of our services via a link from a third-party site, or if we provide links to such sites, you acknowledge that we have no control over the content on those sites.
2. If you are redirected to a platform managed by a third party, the terms of use and content will be governed entirely by that third party and are their sole responsibility, hence, we are not liable for any products or services offered on third-party sites.
3. We do not guarantee or warrant the quality, accuracy, timeliness, reliability, or any other aspect of these third-party products or services. You release us from any damages you may incur and agree not to pursue any claims against us arising from your use of third-party products or services.

1. By virtue of being a user on Yousend, you are automatically granted a non-transferable, non-exclusive, personal, limited, and revocable license to use our products and services for any personal or commercial purposes.
2. This license does not confer upon you any intellectual property rights related to any of our products and services or that of third parties on our platform and it is subject to these Terms of Use and other related agreements.
3. We reserve the right to offer or refuse to offer our services at any time to anyone and for any reason, as well as assign, sub-license, transfer, subcontract, or otherwise dispose of our rights or obligations under these Terms of Use without notice to you or request for your consent (save to the extent required by Applicable Law). Likewise, we reserve all right(s) that we didn't expressly grant to you and are not impliedly provided to you by any applicable law.

1. Yousend reserves the right to terminate your access to the Services at any time under the following circumstances:
   1. If you violate any term of these Terms of Use.
   2. If you misuse or abuse the Services, or use them in a manner not intended or permitted by us.
   3. If you breach any applicable local, state, provincial, national, or other laws, rules, or regulations while using the Services.
   4. If your use of the Services exposes us to legal liability.
   5. If you default on or fail to adhere to any agreement or contract related to the Services.
2. Yousend may, at its sole discretion, terminate your access to the Services or modify or replace any aspect of the Service for the above reasons or other legal reasons, with or without notice. We will make reasonable efforts to notify you of any termination, where doing so would materially affect you.
3. Yousend, its affiliated companies, and partners reserve the right to cease providing any part or all of Yousend’s Services at any time, and you agree that neither us, our affiliated companies, partners, employees, investors nor merchants will be liable to you for such actions.
4. You agree that we will not be liable to you or any third party for terminating your access to the services. Upon termination, the rights granted to you under these Terms will end, but provisions related to disclaimers, limitations of liability, and other survival terms will remain in effect.
5. If you no longer wish to use our products and services, you may terminate your participation by closing your account, unless a separate written agreement with us specifies otherwise. Upon termination, we are not obligated to return your account to you. Your personal data will be managed according to applicable law and our privacy policy and will be deleted after at least five (5) years from the conclusion of our business with you. By accepting these terms, you agree that your sole remedy upon termination is a refund of any unprocessed or outstanding funds in your account, if applicable.

1. You may deactivate, delete or close your account at any time and at no cost. However, you will remain liable for any obligations associated with your account.
2. If we deactivate your account due to suspicion of involvement in a scam activity, fraud, exposure to sanctioned entities or jurisdictions, or any other activity contrary to our acceptable use policy, we reserve the right to withhold your balance until when such is cleared by an order of court or de-risked by our compliance team.
3. We reserve the right to set-off any cost or liability you owe to us against your balance at account closure or deactivation.
4. After closing your account, you will no longer have access to any of our services. We reserve the right to close, suspend, freeze, or limit access to your account for any of the following reasons:
   1. We are required to take such action by law.
   2. You breach any terms and conditions outlined herein.
   3. Your actions create risk or potential legal exposure for us.
   4. We receive reports or discover evidence of fraudulent or suspicious activity related to your Yousend account.
   5. The information you provide does not meet regulatory requirements.

1. By opening an account with us, you consent to receive text (SMS), email, and push notifications from us. These notifications are intended for your use only, and we will not be liable for any loss or damage resulting from unauthorized access to the information sent.
2. You agree to indemnify Yousend against all losses, damages, claims, demands, and expenses, including legal fees, incurred or suffered by YouSend due to these notifications, and against any actions or claims brought against Yousend as a result.

1. We may use your personal information to notify you about new products and services that may interest you.
2. By opening an account with us, you consent to receiving updates about Yousend in accordance with our Privacy Notice and subject to applicable laws. You can unsubscribe from our communications at any time using the link provided in each newsletter.

1. These Terms of Use and any controversy, claim, or dispute arising under, related to or in connection with these Terms of Use (including any alleged breach, or challenge to the validity or enforceability, of these Terms of Use or any provision hereof)) will be construed, pursued, and resolved in accordance with and will be governed by Canadian laws.
2. Where you raise any controversy, claim or dispute under these Terms of Use, we are expected to do all within our effort to settle the dispute with you amicably within thirty (30) days of written notification to us. If an amicable settlement is not achieved, you shall be at liberty to explore mediation by referring the dispute to Mediation. The mediation proceedings shall be conducted online and the language of mediation proceedings shall be English. The outcome of the mediation, if successful, shall be reduced into writing and registered as a consent judgment at a Court of competent jurisdiction in Canada, and shall remain final and binding on us.
3. Where settlement breaks down at mediation, you shall be at liberty to refer the same to a Court of competent jurisdiction in Canada, for final resolution. This does not prevent you from seeking urgent injunctive relief at a Court of competent jurisdiction in Canada where the need arises. This process of resolving disputes also applies where we are the ones affected by your actions or inactions.
4. By consenting to these terms of use, you agree to institute dispute resolution proceedings on an individual basis and not as a representative action, collectively, consolidated, or instituted as a class action. Hence, you waive all rights to institute any class action against us or any of our affiliates, employees, parent company, or subsidiaries in relation to your use of our services now and in the future.

We may assign our rights and responsibilities hereunder without notice to you.

Where a Court of competent jurisdiction finds any part of these Terms of Use and other related agreements to be invalid, or ambiguous, you agree that the remaining part of these Terms of Use not deemed invalid shall remain enforceable, and where possible, the Court should proceed to give meaning to the invalid provisions based on the intentions of parties in line with this Terms of Use

These Terms of Use, our privacy policies, and other related agreements signed directly between you and Yousend shall constitute the entire agreement between you and us with respect to your use of our products and services.

By using our products and services, you acknowledge that the services and all contents are provided on an “as is” and “as available” basis. To the extent permissible by law, Yousend disclaims all warranties not expressly stated in this agreement, whether express, implied, or by operation of law such as warranties of fitness for a particular purpose, merchantability, non-infringement, etc. We do not warrant that the services will be uninterrupted, error-free, or free from viruses or other harmful components. You may encounter content provided by other users and various other sources. You understand that neither Yousend nor its affiliated companies are responsible for the accuracy, usefulness, reliability, or intellectual property rights related to such user-generated content. Furthermore, you acknowledge that some content provided by other users may be inaccurate, offensive, defamatory, indecent, or otherwise objectionable. You agree to waive and hereby do waive, any legal or equitable rights or remedies you may have against Yousend and its affiliated companies with respect to such content.
Yousend and its affiliated companies do not endorse any content provided by users, nor do they endorse any opinions, recommendations, or advice expressed therein.

1. Your feedback, in the form of suggestions, ideas, comments, and even questions regarding our products and services helps us improve and design better products for you.
2. We appreciate your thoughtfulness in sharing them with us and we shall use them judiciously. However, we will not compensate for any feedback received from you, and upon sharing it with us, you automatically grant us the right to use the Feedback without any restriction.
